Licensor means any natural or legal person who provides these terms and the Software, which is made available by the Licensor under the terms of this agreement.
Licensee means the party who agrees to these license terms. A Licensee may be any legal entity, as well as any organizations under the Control of, or controlled by, or under common Control with, such organization. The term Licensee also includes any natural person who uses the Software solely for non-commercial purposes. Fork means a copy of the source code of the Software created by the Licensee for the purpose of making changes, including within the scope of GitHub services and other similar platforms.
Modifications means any changes, enhancements, corrections, optimizations, adaptations, new versions or modules of the Software made by the Licensee in the source code of the Software or Fork.
Control means ownership of a substantial part of the assets of an organization, or the right to determine its management and policy by voting, contract, or otherwise. Control may be direct or indirect.
Your licenses means all licenses granted to you for the Software under the terms of these conditions.
Use means any of your actions regarding the Software requiring one of your licenses.
Internal Use means the use of the Software or Fork exclusively by employees of the Licensee, at the Licensee's premises where the license is installed, within the scope of its own business activities, without transferring, providing access to, or otherwise making the Software or Fork available to third parties.
Product Improvement — introducing changes, enhancements, corrections of errors, optimizing performance, increasing functionality, adapting the product to new requirements or technical standards, as well as creating new versions or modules of the product, directly contributing to the improvement of the Licensor’s product quality, efficiency, or competitiveness. This also includes any other actions aimed at improving the Licensor’s product, including but not limited to adding new features, fixing defects, optimizing code, adapting to new operating systems, hardware platforms, or security standards.
2.1. By continuing to use the Software or Fork, the Licensee confirms that it has read and fully accepts all the terms of this agreement.
2.2. The Licensor reserves the right to change the terms of this agreement at any time. The Licensee is obliged to independently check for updates to the agreement.
2.3. Continued use of the Software or Fork after changes to this agreement is deemed unconditional acceptance of the new terms by the Licensee.
2.4. The Licensee is obliged to independently monitor updates to the terms of this agreement and, if necessary, adjust the use of the Software in accordance with the current version of the agreement.
3.1. Under this license agreement and in accordance with the terms and limitations set forth herein, the Licensor grants the Licensee an irrevocable, worldwide, non-exclusive, free of charge, perpetual license to use the Software solely for internal purposes of the Licensee, that is, for purposes related to the Licensee’s own business activities.
3.2. The license grants the Licensee the right: to use the Software for analysis, development, testing, operation, staff training, and other internal company processes; to run the Software on its own servers, in the cloud, or in the company’s infrastructure to support internal services; Access to the source code by the Licensee is provided solely for the purpose of improving (enhancing) the Licensor’s product, and the Licensee must comply with all terms of this License, as well as any other restrictions set by the Licensor.
4.1. The Licensee is not allowed to: use the Software, Fork, or Modifications to create, distribute, or sell commercial or non-commercial products, including software products, solutions, services, documentation, training materials, and other intellectual property objects, without the prior written consent of the Licensor; use the Software, Fork, or Modifications under any other name, brand, or logo;
4.2. The Licensee is not allowed to use the Software, Fork, or Modifications to infringe upon the rights of the Licensor or any other party in intellectual property, including but not limited to patent, copyright, and related rights.
4.3. Breach of these restrictions results in automatic loss of the right to use the Software and liability in accordance with applicable legislation.
5.1. The Licensee is allowed to create a Fork of the Software within the framework of GitHub services and other similar platforms, as well as to make Modifications to the Fork.
5.2. The Licensee must retain the full and unaltered text of this license, as well as any other applicable licenses accompanying the source code of the Software, in the source code of the Fork and in accompanying materials.
5.3. The Licensee is not allowed to change, delete, hide, or otherwise modify the text of this license in the Fork or in Modifications.
6.1. In the event of introducing Modifications, the Licensee unconditionally and regardless of the form of introduction (including within the framework of employment with an organization) assigns all rights to the introduced Modifications to the Licensor, including exclusive copyright and related rights. Unconditional assignment implies that the Licensee cannot claim any rights to the Modifications in the future.
6.2. The Licensee (including a natural person who introduced Modifications, as well as the organization where he (or she) was employed at the time of introducing Modifications) cannot claim any rights to the Modifications in the future.
6.3. The Licensor is free to use, distribute, modify, transfer to third parties, and otherwise dispose of the introduced Modifications, as well as to mention the name(s) and/or any other information about the author(s) of the Modifications in documentation, source code, licenses, or other materials related to the product.
7.1. Any changes made by the Licensor to the text of this license apply only to Licensees who continue to use the Software or Fork after the changes come into force.
7.2. Any changes made by the Licensor to the text of this license do not have retroactive effect and cannot be applied to relations arising before the changes come into force, as well as to any actions performed by the Licensee before the changes come into force.
7.3. A Licensee who continues to use the Software or Fork after the changes come into force is deemed to have accepted the terms of the amended license.
8.1. Licensees may have rights to "fair use" of the Software under the law. These terms do not limit these rights.
9.1. If the Licensee sends a written notice that the Software infringes or contributes to the infringement of any patent, the patent license on the Software granted under these terms immediately terminates. If the Licensee is a legal entity, its patent license immediately terminates for works performed on its behalf.
10.1. On the first occasion when the Licensee receives a written notice of breach of any terms of this agreement or performs any actions with the Software not covered by its licenses, its licenses may continue to apply if the Licensee fully brings its actions into compliance with the terms of the agreement and provides evidence of remediation to rectify previous breaches within 30 days from the date of receiving the notice. In any other case, all of the Licensee’s licenses immediately terminate.
11.1. To the extent permitted by law, the Software is provided "as is", without any warranties or conditions, and the Licensor is not liable to the Licensee for any losses arising in connection with these terms or the use or nature of the Software, under any legal claim.
12.1. In the event of the occurrence of any cases specified in Section 4 of this License Agreement, the Licensee is obliged to send a prior written notice to the Licensor’s email address support@tarantool.io.
