1. Grant of License

Subject to the terms and conditions of this License, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use, copy, modify, and distribute this Software solely for Academic and Non-Commercial Use.

2. Definitions

"Software" means the source code, object code, documentation, examples, models, scripts, and other materials distributed under this License.

"Academic and Non-Commercial Use" means use solely for:
(a) research, teaching, or educational purposes by an academic institution, government research organization, or other non-profit research entity; or
(b) personal, non-commercial research by an individual.

"Commercial Use" means any use that is not Academic and Non-Commercial Use, including, without limitation:
(a) any use by or on behalf of a for-profit entity;
(b) use in connection with a product, service, or other offering that is sold, licensed, leased, hosted, or otherwise made available for a fee;
(c) use for consulting services or other services performed for compensation;
(d) use for internal research, development, evaluation, or other internal purposes by a for-profit entity;
(e) use to support clinical, operational, or business decision-making by a for-profit entity;
(f) use in collaboration with a for-profit entity where the Software materially contributes to the collaboration's outputs.

3. Permitted Uses

You may:
(a) use and run the Software for Academic and Non-Commercial Use;
(b) modify the Software for Academic and Non-Commercial Use;
(c) share the Software, with or without modifications, only for Academic and Non-Commercial Use, provided that you retain this License and all copyright notices.

4. Restrictions

You may not, without prior written permission from the Licensor:
(a) use the Software for Commercial Use;
(b) sell, sublicense, rent, lease, or otherwise commercially distribute the Software;
(c) provide the Software as a hosted or managed service to or for a for-profit entity;
(d) use the Software to develop, support, or improve a commercial product or service;
(e) remove or alter copyright notices, attribution notices, or this License.

5. Commercial Licensing

6. No Trademark Rights

This License does not grant any right to use the Licensor's name, trademarks, service marks, or logos except for reasonable and customary attribution.

7. Ownership

The Software is licensed, not sold. The Licensor retains all right, title, and interest in and to the Software and all associated intellectual property rights.

8. Contributions

Unless explicitly agreed otherwise in writing, any contribution intentionally submitted for inclusion in the Software shall be deemed provided under the same terms as this License, and you represent that you have the right to submit such contribution.

9. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU ASSUME ALL RISK ARISING FROM USE OF THE SOFTWARE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM OR IN CONNECTION WITH THE SOFTWARE OR THE USE OF OR OTHER DEALINGS IN THE SOFTWARE.

11. Termination

This License automatically terminates if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.

12. Governing Law

This License shall be governed by and construed in accordance with the laws of the State of California, United States of America, excluding its conflict of law principles.
