Academic and Non-Commercial Use License

1. Grant of License
Subject to the terms and conditions of this License, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use, copy, modify, and distribute this Software solely for Academic and Non-Commercial Use.
2. Definitions
"Software" means the source code, object code, documentation, examples, models, scripts, and other materials distributed under this License.
"Academic and Non-Commercial Use" means use solely for:
(a) research, teaching, or educational purposes by an academic institution, government research organization, or other non-profit research entity; or
(b) personal, non-commercial research by an individual.
"Commercial Use" means any use that is not Academic and Non-Commercial Use, including, without limitation:

4. Restrictions

9. Disclaimer of Warranty

10. Limitation of Liability

11. Termination
This License automatically terminates if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.
12. Governing Law
This License shall be governed by and construed in accordance with the laws of the State of California, United States of America, excluding its conflict of law principles.
